Terms of Service

1. Acceptance of terms

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

2. Changes to terms

We may modify these Terms at any time. For material changes, we will notify you by email and update the "Effective date". Your continued use of the Service after notification constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service.

3. Account registration and security

To access the Service, you must create an account. You agree to provide accurate information, keep your password secure, and notify us immediately of any unauthorized access. You must be at least 18 years old. You are responsible for all activity under your account.

4. The Services

LightningBytes provides residential and mobile proxy infrastructure by reselling services supplied by our network suppliers. The Service includes access to proxy endpoints, a dashboard for managing credentials and targeting, and an API. Features, locations, and pricing may change over time.

Because we resell our Supplier's infrastructure, the availability, performance, and IP quality of the Service depend on our Supplier. We pass through the Service in good faith but do not control the underlying network beyond what our Supplier provides.

5. Acceptable use

You may use the Service for legitimate purposes such as web scraping of public data, multi-account management, ad verification, price monitoring, SEO tracking, and AI-agent data collection. You may not use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Engage in fraud, money laundering, or terrorist financing.
• Distribute malware, viruses, or other harmful code.
• Harass, stalk, or harm individuals.
• Access or damage systems you are not authorized to access.
• Reverse engineer, decompile, or attempt to extract the underlying network or Supplier's data.
• Resell or redistribute the Service without our written permission.
• Bypass rate limits, access controls, or authentication.

We may suspend or terminate access for violations, with or without notice, and may report illegal activity to authorities.

6. Subscription plans and billing

We offer monthly and pay-as-you-go plans. Fees are billed in advance. All fees are non-refundable except as required by law or stated in these Terms. We may change pricing with at least 30 days' notice; changes apply to subsequent renewals. You are responsible for applicable taxes.

Pay-as-you-go packages and subscription plans are available subject to these Terms. Traffic allowances, rollover, and volume discounts are described on our pricing page and may change.

7. Intellectual property

The Service, including the LightningBytes brand, website, dashboard, and documentation, is owned by Virtunio Ltd. and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain all rights to data you provide. You may not copy, modify, or create derivative works of our software, or use our trademarks without written permission.

8. Privacy and data protection

Our collection and use of personal data is governed by our Privacy Policy. As a reseller, we act as a data processor on behalf of our Suppliers for proxy-usage data, and as a data controller for your account information. We comply with the GDPR and Cyprus data-protection law.

9. Service level and warranty

We strive for high availability and clean, ethically sourced IPs, but do not guarantee uninterrupted access. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; THERE OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify and hold harmless Virtunio Ltd. and its officers, employees, and affiliates from claims arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You may terminate your account at any time. We may suspend or terminate access immediately for violations, legal requirements, or discontinuation of the Service. Upon termination, your right to use the Service ceases, and surviving provisions remain in effect.

13. Dispute resolution

These Terms are governed by the laws of the Republic of Cyprus and the European Union. Any disputes shall be subject to the exclusive jurisdiction of the courts of Cyprus. We encourage you to contact us first at legal@lightningbytes.com to resolve disputes informally.

14. General provisions

These Terms, together with our Privacy Policy, constitute the entire agreement. If any provision is invalid, the rest remain in effect. You may not assign these Terms without our consent; we may assign them freely. We are not liable for failures due to force majeure.
